All rights in the Platform, including software, designs, logos, and documentation, are owned by MakayisAI or our licensors. These Terms do not grant you any rights to our intellectual property except as necessary to use the Services.

Any feedback, suggestions, or ideas you provide about the Platform becomes the property of MakayisAI, and we may use it without restriction or compensation.

8. Payment Terms

8.1 Subscription Fees

• Fees are based on your selected subscription plan
• All fees are non-refundable unless otherwise stated
• Prices are subject to change with 30 days notice
• You are responsible for all applicable taxes

8.2 Billing

• Subscriptions auto-renew unless cancelled
• Payment is due at the beginning of each billing period
• Failed payments may result in service suspension

8.3 Free Trials

Free trials are subject to availability and may include limited features. At the end of the trial, you will be charged unless you cancel your subscription.

You agree to indemnify, defend, and hold harmless MakayisAI, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or AI agents

13.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support.

13.2 Termination by MakayisAI

We may suspend or terminate your account if:

• Your account remains inactive for an extended period
• We discontinue the Services

13.3 Effect of Termination

Upon termination:

• Your access to the Platform will cease
• You remain liable for any outstanding fees
• We may delete your data after a retention period
• Provisions that should survive will remain in effect

14. Dispute Resolution

14.2 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, except where prohibited by law.

14.3 Class Action Waiver

You agree to resolve disputes only on an individual basis and waive any right to participate in class actions or class arbitrations.
